What fifteen per cent actually means.

The commercial terms behind the number on the partner page. Same rules, written where you can hold us to them.

  1. Who this is for

    The programme is open to businesses and to individuals acting in their trade — agencies, consultants, integrators, salespeople. Participation begins when we approve an application in writing, not when one is submitted. We may decline an application without giving a reason, and we say so here rather than leaving somebody to infer it from silence.

  2. What you earn

    Fifteen per cent of the recurring subscription fee paid by a customer you introduced, for each period they pay it. There is no tier structure, no volume threshold and no rate that improves or decays. The rate is the same on your first customer and your fiftieth.

  3. What it is calculated on

    The recurring platform subscription, exclusive of tax, as actually invoiced and collected. Not on Systeni Studio implementation work, custom development, or any one-off service fee. That work is delivered close to cost and cannot carry a share of its value — a commission on it would come out of the build budget, and that would show up in the delivery rather than in the margin.

  4. How long it runs

    For as long as the subscription stays active and paid. There is no twelve-month cap and no annual reset. If the customer stays five years, the commission runs five years. If they cancel, it ends with the last period they paid for.

  5. How an introduction is attributed

    A referral link or code attributes automatically. A named introduction — the business, the person and the date, sent to us before their first conversation with us — counts equally, and is the route most partners will actually use while the link tooling is still being built.

    A business that has already contacted us, or that is already in a live conversation with us, cannot be introduced. Where two partners each have a genuine claim, we will say so to both and split the commission between them rather than deciding it quietly in favour of whoever asked first.

  6. When it is reduced or reversed

    Only on refunds and chargebacks, and only for the amount refunded or charged back. Ordinary churn is not clawed back: a customer who paid for six months and then left earns you six months of commission, permanently.

    Commission is not payable on a subscription obtained through misrepresentation of Systeni, through an introduction made without the business's knowledge, or in breach of clause 8.

  7. What you are not responsible for

    You are not required to scope, build, integrate, support or maintain anything. Systeni handles the architecture, the implementation and the customer relationship after introduction. You are equally not authorised to commit us to a scope, a price, a date or a capability — quoting on our behalf is the one thing that turns an introduction into a problem.

  8. How you may represent Systeni

    Describe what the product does. Do not promise outcomes, savings or performance figures we have not published, and do not state that an integration or certification exists when it does not — the platform and security pages are the reference, and they are deliberately blunt about what is not built.

    No spam, no unsolicited automated outreach in our name, no paid search on the Systeni brand, and no representation of yourself as an employee or office of Systeni.

  9. What we will show you

    The customers attributed to you, whether each subscription is active, and the commission calculated on it. Not the customer's internal data, their conversations, or anything they put into the product. An introduction earns you a share of the revenue, not a window into the business.

  10. When you are paid

    Commission becomes yours when the customer's payment has cleared, not when they are invoiced. An invoice is an intention; a cleared payment is the money the share is a share of, and paying on the first would mean reclaiming it every time a card is declined.

    Balances are paid out once they reach $100. Below that they carry forward and accumulate — nothing expires and nothing is forfeited for being small. Everything is calculated and paid in US dollars, the currency the subscriptions themselves are priced in.

  11. Tax

    Commission is paid to you in full, without deduction or withholding at our end. You are responsible for your own tax on what you receive, and for any registration your own jurisdiction requires — we cannot advise you on either, and a partner programme that pretended it could would be doing you a disservice.

    If our own position changes such that we become obliged to withhold, we will tell you before it affects a payment rather than after, and you will see it on the statement.

  12. What is still done by hand

    Attribution, statements and payment are manual today. Commission is calculated by us from the billing record and transferred; there is no self-serve dashboard and no automatic payout run yet. That is stated on the partner page as well, and it is worth knowing before you introduce anybody rather than at your first statement.

  13. Changes, and ending

    We may change these terms for introductions made after the change. Commission already running on a customer you introduced continues on the terms that applied when you introduced them, unless we both agree otherwise in writing.

    Either side may leave the programme at any time. Leaving stops new introductions being attributed; it does not end commission already running on customers you introduced, except where clause 6 applies.

  14. Governing law

    The programme is operated by Systeni Limited, registered in Hong Kong SAR. These terms are governed by the law of Hong Kong. Nothing here removes a right you hold under a law that cannot be contracted out of.
